1. The Service

CHI provides an entertainment media platform featuring editorial content, artist development resources, an artist database, industry directories, educational products (including digital guides), events such as workshops and showcases, and related promotional services, as described on the Site.

2. Accounts and Credentials

You may need an account to purchase products or manage your orders. You must provide accurate information, keep it up to date, and maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. You must be of legal age to form a binding contract, or have the authority to bind the organization you represent.

3. Acceptable Use

You agree not to misuse the Site or Services. You must not:

• use the Site for any unlawful purpose or in violation of any law;
• engage in fraud, spam, scraping, or automated data collection;
• infringe the intellectual property or privacy rights of any person;
• interfere with or attempt to gain unauthorized access to the Site, its security features, other accounts, or related systems, including introducing malware or probing or testing vulnerabilities;
• resell, redistribute, or exploit the Site or its content without permission.

4. Artist Submissions

Information you submit to the CHI artist database or any submission form remains private and is used for editorial review and contact purposes. Submitting information does not guarantee publication, coverage, features, or promotion. You represent that you have the rights to any content and links you submit.

5. Intellectual Property

The Site and its content — including text, design, branding, the CHI name and logo, software, and documentation — are owned by Chi Entertainment Network LLC or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable right to access and use the Site and any purchased products for your personal or internal business purposes. You may not reverse engineer, resell, redistribute, or circumvent any technical limits of the Site or products.

6. Purchases and Payment

Purchases are sold by Chi Entertainment Network LLC. Payments are processed securely by Stripe; for some digital products, Stripe may act as the reseller and handle tax, receipts and payment support for that transaction, as shown at checkout. Prices are in US dollars and applicable taxes are calculated at checkout. Yearly directory plans renew automatically each year until you cancel from My Account; cancelling stops the next renewal and you keep access until the end of the paid year. Other term-based products run for the period stated at purchase and do not renew.

7. Educational Content — No Professional Advice

CHI's books, guides, resources and events are provided for general informational and educational purposes only. They do not constitute legal, financial, tax or other professional advice, and you should consult qualified professionals before making decisions affecting your career or business.

8. Service Availability

The Site and Services are provided on an "as is" and "as available" basis. We do not guarantee that the Site will be uninterrupted, timely, secure, or error-free, and we may modify or discontinue any feature at any time.

9. Suspension and Termination

We may suspend or terminate your access to the Site or Services, with or without notice, if you materially breach these Terms, fail to pay amounts due, create security or fraud risks, or repeatedly or seriously violate our policies. You may stop using the Site at any time. Upon termination, your right to use the Site ends immediately.

10. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. To the fullest extent permitted by law, Chi Entertainment Network LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Site or Services is limited to the amounts you paid us in the twelve (12) months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law, such as liability for fraud, death, or personal injury.

11. Indemnification

You agree to indemnify and hold harmless Chi Entertainment Network LLC from claims, damages, and expenses arising from your content, your unlawful use of the Site, or your violation of these Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to their jurisdiction.

13. General

• Changes: We may update these Terms from time to time; the current version is always posted on this page, and continued use after changes take effect constitutes acceptance.
• Assignment: You may not assign your rights without our consent. We may assign these Terms in connection with a merger or sale of assets.
• Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
• Entire agreement: These Terms, our Privacy Policy and Refund Policy form the entire agreement between you and CHI regarding the Site and Services.
